Why AI Contracts Are Different

The pattern was consistent: vendors were drafting terms that would have been commercially unconscionable in any other software category.

The 15 Red Flags

Broad Training Data Rights Clause

Vendors inserting language that grants them perpetual, irrevocable rights to use your data — including proprietary business data — to train and improve their models. This applies to your interactions, documents, outputs, and metadata. Negotiate explicit carve-outs for confidential data categories and require data segregation by contractual obligation.

IP Ownership Ambiguity in AI Outputs

Who owns the work product when an AI generates code, contracts, analyses, or creative content for your enterprise? Standard vendor terms typically assign co-ownership or assert vendor license rights over AI-generated outputs. Demand explicit assignment of all output IP to your organisation and remove any vendor license-back provisions.

No Model Performance SLAs

Vendors defining uptime SLAs (system availability) but refusing any SLAs on AI output quality, accuracy, or task completion rates. In 76% of contracts we reviewed, a vendor could deliver a system that was "available" while producing outputs that were 40% inaccurate with zero contractual remedy. Negotiate output quality baselines with measurable metrics and remedy provisions.

Liability Exclusion for AI-Generated Errors

Sweeping liability exclusions that specifically carve out losses resulting from "AI system outputs," "model recommendations," or "automated decisions." This means when an AI procurement recommendation costs you $10M in bad vendor selection, the vendor has zero contractual liability. Push for risk-proportionate liability caps with explicit coverage of consequential AI errors in high-stakes use cases.

Unilateral Model Version Changes

Clauses granting vendors the right to deprecate, modify, or replace the AI model version you contracted for at any time, with minimal notice. If your workflows depend on specific model behaviour and the vendor swaps to a new model that produces different outputs, you have no recourse. Negotiate model stability commitments, change notice periods of 90+ days, and rollback rights.

Data Portability Gaps on Exit

Vendors offering no structured data export on termination — or providing exports in proprietary formats that cannot be ingested by alternative systems. Combined with embedding your data into model fine-tuning, this creates lock-in that is technically as well as contractually difficult to escape. Require machine-readable export standards (JSON, CSV, standard APIs) with a minimum 90-day access window post-termination.

Regulatory Non-Compliance Liability Shift

Clauses attempting to shift all EU AI Act, GDPR, CCPA, and sector-specific (financial services, healthcare) compliance liability to the buyer. AI vendors providing tools used in regulated decisions cannot fully transfer compliance responsibility — but they can create contractual ambiguity that forces you into expensive litigation. Negotiate clear responsibility allocation by obligation type.

Unlimited Usage Data Collection

Broad telemetry and usage data provisions that grant vendors rights to collect, retain, and commercially use your interaction patterns, query structures, and workflow data indefinitely. This data is extraordinarily valuable for vendor product development — at your competitive expense. Restrict collection to product improvement purposes with defined retention limits and no third-party sharing.

No Audit Rights for AI Decision Processes

Contracts granting no right to audit, interrogate, or receive explanations for AI decisions that affect your business outcomes. In regulated industries especially, the inability to explain why an AI system reached a particular decision creates compliance exposure. Negotiate transparency provisions including explanation requests and decision audit logs for high-stakes use cases.

Elastic Pricing with No Caps

Usage-based pricing structures with no contractual commitment caps, combined with AI systems that can generate unbounded API call volumes. Enterprise deployments routinely see 3–5x projected usage as adoption scales — without caps, this translates to budget overruns of the same magnitude. Negotiate tiered pricing with hard caps and overage notification obligations at 80% of contracted volume.

Fine-Tuned Model Ownership Trap

When you fine-tune a vendor's foundation model on your proprietary data, many contracts assign ownership of the resulting fine-tuned model to the vendor — or grant them perpetual license rights to the fine-tuned weights. You may have invested millions in proprietary training data and model customisation for an asset you don't own. Negotiate explicit IP ownership of fine-tuned derivatives.

Missing Security Incident Obligations

AI systems processing sensitive enterprise data with no contractual breach notification timelines, remediation obligations, or liability for security incidents caused by vendor infrastructure failure. Require GDPR-standard 72-hour breach notification, defined remediation SLAs, and proportionate liability coverage for data breach costs.

Forced Arbitration for AI Disputes

Mandatory arbitration clauses that prevent class actions, limit forum to vendor-friendly jurisdictions, and require confidentiality that prevents buyers from learning about similar disputes with other clients. These clauses consistently favour vendors in disputes involving complex technical AI failures. Negotiate for neutral jurisdiction, public arbitration records where permissible, and litigation rights for material disputes.

Change-in-Control Termination Risk

No buyer termination rights triggered by vendor acquisition, merger, or change of control — meaning your AI vendor can be acquired by a competitor and you have no contractual mechanism to exit. The AI vendor landscape is consolidating rapidly. Require change-in-control termination rights with minimum 180-day transition support and data export on exercise.

No Ethical Use Guarantees

Vendors providing no contractual guarantees that their AI systems comply with your internal ethical AI policies, sector regulations, or emerging EU AI Act high-risk system requirements. As regulators require buyers to document AI governance, vendor non-compliance becomes your compliance failure. Negotiate vendor representations on bias testing, high-risk system classification, and regulatory certification timelines.
